Account Subscription Plan

Transport Topics offers a Group Account Subscription Plan to certain qualified companies and individuals.
Under the Plan, participating firms may purchase Transport Topics print edition subscriptions at special rates which are not otherwise available.
Participating firms receive one consolidated invoice, annually for all subscriptions. Subscriptions may be mailed to multiple locations.

Program
Details: Enrollment, Continuation and Selection of Administrator
|

| |
A firm wishing
to enroll or continue in the Plan must purchase and maintain a
minimum of five subscriptions. The firm appoints one person to
serve as the Group Administrator (the "Administrator"),
who is the point of contact with Transport Topics. Communications
to Transport Topics regarding the Plan or its subscribers shall
come from the Administrator. Communications, including subscriber
lists, renewal notices and invoices shall be sent by Transport
Topics to the Administrator.

Establishing
and Maintaining Subscriber List

| |
A complete list of subscribers, including First and Last Name, Title,
Company Name, Mailing Address, Phone, Fax, E-mail and Edition (Print
Only or Print and Digital) shall be provided to Transport Topics by the
Administrator. An Administrator may request a list of subscribers,
to verify its accuracy or make changes, at any time. Maintenance
of an accurate list of subscribers is the responsibility of the
Administrator. Lists may be sent via postal mail, e-mail or facsimile.
Transport Topics may request, from time to time, information about
subscriber job function, primary business activity, or other subscriber
attributes in order to comply with postal and circulation audit
requirements.

Invoice
Calculation and Payment

Upon creation
or renewal of a Plan, the participating firm will be invoiced
an amount equivalent to the number of subscribers in the group,
at the applicable rate (see below) for a term of 52 issues, per
this formula:

Amount
Example: ABC Company creates or renews a Plan with 11 subscribers. ABC
Company will be invoiced for $869.00 (11 subscriptions at $79.00 each)
and the group will be credited with 572 copies- - (11 Subscriptions x 52
Weeks = 572 copies). Transport Topics refers to these 572 copies as the
Plan Pool (the "Pool").
Invoices are
payable within 30 days of the creation or renewal date of the
Group. If payment is not received within 30 days of the invoice
date service to the Plan and its subscribers will suspend. Service
will restart upon payment and continue until all copies are served.

Adding
Subscribers to the Plan

A participating
firm may add subscribers to the Plan at anytime. The firm will
not be invoiced for additional subscribers until the Renewal Date
of the Group. Instead, the additional subscriber(s) will be served
from the number of issues in the Pool according to this formula:

Pool Size / Number of Subscribers = Remaining Issues Per
Subscriber
Example:
ABC Company starts a Plan with a Pool of 572 issues (11 subscribers
x 52 weeks). Twelve weeks later, there are 440 issues remaining
in the Pool because 132 issues have been served (11 people x 12
weeks). At this point, the firm adds 4 more subscribers to the
Plan. All 15 subscribers in the Plan now divide the remaining
440 issues. Because the remaining Pool is now serving out 15 copies
per week, the Pool is exhausted in 29.33 weeks (we round up to
30 weeks). Transport Topics resets the Renewal Date for the Plan
30 weeks from this event.

Canceling
Subscribers in the Plan

A participating
firm may cancel subscribers in the Plan at anytime (subject to
maintaining the minimum of five active subscriptions). No refund
is issued; instead, the remaining subscribers will be served from
the Pool according to this formula:

Example:
ABC Company purchases a Plan with a Pool of 572 issues (11 People
x 52 Weeks). Twelve weeks later, there are 440 issues remaining
in the Pool because 132 issues have been sent (11 People x
12 Weeks). At this time, the Administrator decides to cancel 5
subscriptions. The 6 remaining subscribers in the PLAN now share
the remaining 440 issues will. Because the Pool is now serving
6 copies per week, the Pool will be exhausted in 73.33 weeks (we
round up to 74 weeks). We reset the Renewal Date for the 74 weeks
from this event.

Subscriber
Change of Address
|

Transport
Topics receives change of address requests and notifications from
a variety of sources, including official notice from the postal
service, telephone calls, letters, e-mails and faxes from subscribers,
co-workers, mailrooms, office managers, etc. We process these
address changes in good faith, meaning we assume the information
comes from a bona fide source and is accurate. It is the Group
Administrator's responsibility to maintain an accurate subscriber
list. The Group Administrator may request an updated list of subscribers
in the group at any time by contacting Transport Topics.

Undeliverable
Subscriptions
|

Transport
Topics may receive notification from the postal service when a
subscription is undeliverable. In such cases, mailing of the subscription
suspends. Because suspended subscriptions are not served from
the pool the group incurs no financial loss. When Transport Topics
is informed by either the subscriber or the Group Administrator
of an accurate address, the subscription will be restarted and
served with issues remaining from the pool. Transport Topics cannot
contact subscribers or Group Administrators when we receive undeliverable
notifications due to the volume of "undeliverable" notifications
it receives.

Exclusions
from Group Accounts
|

| |
Certain subscriptions
are ineligible for the Group Account Subscription Plan, including
subscriptions mailed outside North America, complimentary subscriptions
and Benefit of Membership subscriptions served to members of the
American Trucking Associations or its affiliated Councils. A Group
must maintain a minimum of 5 eligible subscriptions to remain
in the program.

Refunds
|
| |

Transport
Topics does not issue refunds to participating firms when a group
subscription is cancelled. Instead, a credit will be applied to
the Group, as described above. A refund will be issued to a firm,
however, if the firm terminates its participation in the Plan,
and a balance remains in the pool. Refunds are issued within 60
days of termination.

Program
Changes
|

Transport
Topics reserves the right to amend its Group Account Subscription
Program at any time. Plan participants may end their participation
at any time, for any reason.
