Justice Department Clears Yellow Roadway, USF Deal

ellow Roadway Corp. and USF Corp. said Thursday that the U.S. Justice Department had cleared any antitrust concerns about Yellow Roadway’s pending acquisition of USF.

The companies said the Justice Department informed them the waiting period related to the Hart-Scott-Rodino Antitrust Improvements Act of 1976 had ended, effectively ending antitrust review of the pending $1.37 billion deal, announced Feb. 27. (Click here for previous coverage.)

The two less-than-truckload carriers also announced separate meetings for their shareholders, to be held on May 23.



Yellow Roadway’s shareholders will consider issuing additional shares of stock in connection with the acquisition, while USF’s shareholders will consider approval of the merger, the companies said in a statement.

Yellow Roadway is No. 3 and USF is No. 12 on the Transport Topics 100 listing of North American for-hire carriers.
